These General Terms & Conditions govern the provision of the professional services offered by Costa del Sol Interiors and supplement the Specific Terms set out in each Service Proposal accepted by the Client.
Each Service Proposal shall be governed by the version of these General Terms & Conditions in force on the date on which the relevant Service Proposal is accepted by the Client.
Any subsequent amendments to these General Terms & Conditions shall not affect Service Proposals that have already been accepted, unless otherwise expressly agreed in writing by both parties.
1. Scope of Services
The scope of the services provided under this Agreement is strictly limited to the phases, services, activities, coordination, management tasks and deliverables expressly described in the Service Proposal accepted by the Client.
Any service, activity, management task, coordination, visit, deliverable or other work not expressly included in the relevant Service Proposal shall be deemed excluded from the agreed scope of services and shall require a separate quotation and the Client’s prior written approval.
2. Nature of the Services
The Client expressly acknowledges that Costa del Sol Interiors acts solely as a professional interior design studio, providing interior design, planning and consultancy services.
Where expressly stated in the relevant Service Proposal, Costa del Sol Interiors may also provide procurement management, site visits during the implementation of the design, and other ancillary services, subject to the scope, limitations and conditions set out in the applicable Service Proposal and these General Terms & Conditions.
Costa del Sol Interiors does not act as a contractor, construction company, installer, manufacturer, supplier, transporter, warehousing provider or furniture or materials supplier.
3. Technical Limitations of the Interior Design Project
The Interior Design Project prepared by Costa del Sol Interiors constitutes an interior design project only and does not constitute an architectural, engineering or technical project, nor does it include construction supervision, technical inspection, site management or certification of compliance with applicable laws or regulations.
Where the project is based on a digital survey carried out using 3D scanning technology, any dimensions obtained shall be considered indicative only for design purposes. The verification of all final measurements shall remain the sole responsibility of the contractor, suppliers, manufacturers, installers or other competent professionals prior to any manufacture, installation or construction works.
Renderings, 3D images, mood boards, reference photographs and all other visual representations are intended solely for illustrative purposes. Reasonable variations may occur in materials, finishes, textures, colours, lighting, furniture, decorative elements or dimensions due to manufacturing processes, product availability, lighting conditions or the execution of the project.
The design proposals are prepared on the basis of the information available at the time and do not include any verification of the property’s technical, structural or construction conditions. The technical and legal feasibility of the proposed solutions, as well as compliance with all applicable laws and regulations, shall be verified by the relevant competent professionals and contractors.
Any layout drawings or installation layouts included within the Interior Design Project are indicative only and shall not be construed as construction drawings or technical installation plans.
4. Client Information and Documentation
Prior to the commencement of the project, the Client shall provide all documentation and information reasonably required for the proper development of the services, including, where applicable:
- Dimensioned floor plans of the property.
- Electrical plans.
- Existing paint references (RAL codes or equivalent).
- Colour references, finishes and material specifications for any existing furniture or elements that are to remain.
- Any other technical documentation reasonably required for the preparation of the project.
The quality, accuracy and feasibility of the Interior Design Project depend upon the completeness and accuracy of the information provided by the Client.
Should any documentation be incomplete, inaccurate or unavailable, any additional site visits, measurements, inspections, project amendments or revisions required as a consequence may be quoted and charged separately.
5. Project Development
The project shall be developed in successive phases, each phase being conditional upon the completion and approval of the preceding phase.
Unless otherwise expressly stated in the relevant Service Proposal, each phase includes one (1) round of revisions.
Throughout the project, Costa del Sol Interiors may issue project reports, deliverables, meeting minutes, design proposals and other project-related communications through the project management platform (such as Notion), by email or through any other communication channel previously agreed with the Client.
The Client shall have seven (7) calendar days from the date of delivery of each project report, deliverable or communication to submit any comments, corrections or observations in writing.
If no written observations are received within such period, Costa del Sol Interiors may continue the development of the project in accordance with the contents of the relevant report, deliverable or communication, it being understood solely that the Client has raised no objections within the applicable review period for the purposes of the continued progression of the project.
Any amendments requested after the expiry of such review period, or following the approval of any project phase, may constitute a change to the agreed scope of services (scope change) and may result, where appropriate, in an adjustment to the professional fees, the project programme, or both.
Nothing in this clause shall affect any mandatory rights that may apply to the Client under applicable law.
6. Communications and Approvals
All communications relating to the project shall be documented through the project management platform (such as Notion or any equivalent platform), by email or through any other communication method previously agreed between the parties. Client communications will be attended to during Costa del Sol Interiors’ normal business hours.
Online meetings relating to the Interior Design Project shall be scheduled during Costa del Sol Interiors’ normal business hours and shall be held with the Client or with a representative expressly designated by the Client. Any decisions, instructions or approvals communicated by such representative shall be deemed to have been given on behalf of the Client.
All Client approvals shall be provided in writing before any order is placed, any supplier is instructed or the project proceeds to the next phase.
Project reports, deliverables and other project communications issued during the course of the project shall be subject to the review procedure set out in Clause 5 (Project Development).
Any delay by the Client in providing approvals, documentation, responses or payments within the agreed timeframes may result in the project being rescheduled according to Costa del Sol Interiors’ availability, without giving rise to any liability on the part of Costa del Sol Interiors.
If the Client remains unresponsive for more than fifteen (15) calendar days, the project may be deemed temporarily suspended and rescheduled subject to the studio’s availability.
Extra meetings, additional consultations, amendments requested after the approval of the design, or any work exceeding the ordinary management of the project may be treated as Additional Services and quoted separately.
7. Procurement Management
Where the Service Proposal expressly includes Procurement Management services, such services shall be strictly limited to the suppliers, manufacturers, products and items expressly identified in the relevant Service Proposal.
All suppliers, manufacturers, transport providers, installers, fitters and other professionals involved in the project shall act as independent contractors and shall be solely responsible for their quotations, contracts, manufacturing, delivery, installation, execution, warranties, after-sales services and all other obligations arising from their respective activities.
Unless expressly stated otherwise in the relevant Service Proposal, all supply and installation agreements shall be entered into directly between the Client and the relevant supplier, who shall issue its own invoices and remain solely responsible for its contractual and legal obligations. Where Procurement Management services have been contracted, Costa del Sol Interiors shall act exclusively as a coordinator.
Depending on the agreed scope of services, Procurement Management may include obtaining quotations, monitoring orders and liaising with suppliers throughout the purchasing process.
Orders shall only be placed once the Client has approved the design, accepted the relevant quotation and fulfilled any payment requirements established by the supplier. Supplier quotations shall remain valid only for the period specified by the relevant supplier and may be subject to change until formally accepted.
Once a purchase has been approved and an order has been placed, any modification, cancellation or return shall be subject exclusively to the supplier’s commercial terms and conditions, and any resulting costs shall be borne by the Client.
The Client may purchase products independently. However, the management of such purchases, order tracking, returns, claims, incident resolution or any related services shall not form part of the services provided by Costa del Sol Interiors unless expressly agreed in writing under a separate quotation.
Should any product become unavailable, discontinued or modified by its manufacturer, Costa del Sol Interiors may propose alternative products of comparable quality, functionality and aesthetic appearance for the Client’s approval.
8. Site Visits During Design Implementation
Where the Service Proposal expressly includes site visits during the implementation of the design, such services shall be limited to the number of visits, scope, project phases and professionals expressly specified in the relevant Service Proposal.
Such visits shall consist solely of visual reviews intended to assess whether the interior design is being interpreted and implemented in accordance with the approved design concept from an aesthetic and functional perspective.
For the avoidance of doubt, these visits shall not constitute site supervision, project management, construction management, technical inspection, continuous supervision, acceptance of works, quality certification or verification of compliance with applicable laws, regulations or technical standards. Such responsibilities shall remain exclusively with the contractor, installers and other competent professionals engaged in the project.
During these visits, Costa del Sol Interiors shall deal exclusively with matters relating to the Interior Design Project and within the agreed scope of services. Communications shall be channelled through a single representative designated by the Client, whether the Client, the contractor, the site manager or any other authorised representative, and shall take place during Costa del Sol Interiors’ normal business hours.
Any additional meetings, site visits, consultations or services beyond the agreed scope may be treated as Additional Services and quoted separately.
9. Final Styling (Home Styling)
Where the Service Proposal expressly includes Final Styling (Home Styling), Costa del Sol Interiors shall carry out the aesthetic selection, arrangement and placement of furniture, decorative accessories, textiles and other design elements included within the approved Interior Design Project.
Costa del Sol Interiors may coordinate the involvement of transport providers, installers, fitters and other professionals within its supplier network for the delivery, assembly and installation of the items included in the project.
Such coordination shall be organisational, aesthetic and functional in nature only and shall not constitute the physical execution of any works, which shall remain the responsibility of the relevant contractors and professionals engaged for that purpose.
Final Styling may only commence once the property is in suitable condition to receive the specified furniture and decorative elements. The Client shall notify Costa del Sol Interiors in writing that all preceding construction or preparatory works have been completed and that the property is ready for this phase of the project.
Final Styling shall include only those items expressly identified in the accepted Service Proposal. Any subsequent changes or additional services requested by the Client may be quoted separately.
10. Access to the Property and Conditions for the Provision of the Services
Where access to the property is required for the provision of the services, the Client shall ensure that the property is available on the agreed date and is in a suitable condition for the performance of the services.
The Client shall provide access to the property by supplying the necessary keys or by ensuring that an authorised person is present to grant access to Costa del Sol Interiors and, where applicable, to any suppliers, transport providers, installers or fitters whose coordination forms part of the agreed services.
The Client shall ensure that the property satisfies all conditions reasonably necessary for the provision of the contracted services, including unrestricted access to the property, the availability of keys or an authorised person to provide access, completion of all preceding works, the availability of electricity where required and safe access to all relevant areas. Should a scheduled visit or service be unable to proceed for reasons attributable to the Client, Costa del Sol Interiors may reschedule the appointment subject to the studio’s availability.
Any additional visits, travel or services required as a consequence of such circumstances may be quoted and charged separately.
11. Project Suspension and Rescheduling
The services are provided on the basis of the continuous and reasonable progression of the project.
Should the project be suspended or significantly delayed for reasons beyond the control of Costa del Sol Interiors for a period exceeding twelve (12) months from the commencement of the relevant services, the continuation of the remaining services, the scheduling of the outstanding project phases and the reservation of studio time shall be subject to Costa del Sol Interiors’ availability at that time.
Where appropriate, the project timetable may need to be revised and the professional fees adjusted solely in respect of the outstanding services yet to be performed.
12. Project Cancellation
If the Client cancels the project after the commencement of the services, the Client shall pay for all services performed up to the date on which the cancellation is communicated, calculated proportionally according to the work completed within the current project phase.
Project phases that have been fully completed, delivered and approved shall be non-refundable, without prejudice to any statutory right of withdrawal that may apply where the Client qualifies as a consumer under applicable law.
Costa del Sol Interiors may suspend the provision of the services in the event of non-payment, breach of the contractual obligations by the Client, repeated failure to cooperate, failure to provide essential documentation or any other circumstance preventing the normal performance of the services.
If such suspension continues for more than thirty (30) calendar days for reasons attributable to the Client, Costa del Sol Interiors may proceed with the administrative closure of the project.
Any resumption of the project shall require the acceptance of a new Service Proposal covering only the outstanding services and any necessary adjustments resulting from the passage of time, without affecting services already completed and paid for.
Payments made by the Client compensate the time reserved, the availability of the studio and the services actually performed up to the date of cancellation, without prejudice to any mandatory consumer rights under applicable law.
13. Intellectual Property and Use of Images
All designs, drawings, layouts, mood boards, procurement schedules, technical documentation and any other materials prepared by Costa del Sol Interiors are protected by applicable intellectual property laws and shall remain the exclusive property of Costa del Sol Interiors.
The Client is granted a non-exclusive, non-transferable right to use such documentation solely for the execution and use of the specific Interior Design Project for which it was prepared. The Client shall not reproduce, modify, distribute, assign, commercialise, reuse or use such documentation for any other project without the prior written consent of Costa del Sol Interiors.
The Client authorises Costa del Sol Interiors to use photographs, videos and images of the completed project for promotional, advertising and professional portfolio purposes. This authorisation may be withdrawn by the Client at any time by written notice.
The use of such images shall be limited to the completed project and shall not include the disclosure of the Client’s personal data.
14. No Guarantee of Commercial Results
Costa del Sol Interiors shall perform the services with the level of skill, care and diligence reasonably expected from a professional interior design studio, applying its professional knowledge, creativity and experience throughout the project.
However, the Client acknowledges that Costa del Sol Interiors does not guarantee that the property will be sold, rented, marketed within any specific period, increase in market value, achieve any particular financial return or produce any specific commercial or economic result as a consequence of the services provided.
Any decision by third parties to purchase or rent the property, fluctuations in the real estate market, economic conditions, marketing strategy, sale or rental price, or any other circumstances beyond the control of Costa del Sol Interiors shall not give rise to any liability on the part of Costa del Sol Interiors.
15. Personal Data Protection
Costa del Sol Interiors shall process the Client’s personal data in accordance with Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR), the applicable Spanish data protection legislation and any other applicable laws and regulations.
Data Controller: Costa del Sol Interiors.
The Client’s personal data shall be processed for the purposes of managing the contractual relationship, preparing and delivering the project, coordinating the contracted services, issuing invoices, complying with legal obligations and maintaining all communications necessary for the proper provision of the services.
The legal basis for such processing is the performance of this Agreement and compliance with applicable legal obligations.
Where necessary for the provision of the services or where required by law, personal data may be disclosed to suppliers, collaborators, independent professionals involved in the project, professional advisers, financial institutions and public authorities.
The Client may exercise the rights of access, rectification, erasure, restriction of processing, data portability, objection and any other rights recognised under applicable data protection legislation by contacting Costa del Sol Interiors using the contact details set out in these General Terms & Conditions.

Costa del Sol Interiors maintains official consumer complaint forms available to consumers in accordance with applicable Spanish consumer protection legislation.
17. Governing Law and Jurisdiction
These General Terms & Conditions shall be governed by and construed in accordance with the laws of Spain.
Any dispute arising out of or in connection with these General Terms & Conditions or the services provided shall be submitted to the courts having jurisdiction under the applicable legislation.
Where the Client qualifies as a consumer, the competent courts shall be those determined by the mandatory consumer protection legislation applicable at the relevant time.
18. Right of Withdrawal
Where this Agreement is concluded at a distance or outside the business premises of Costa del Sol Interiors and the Client qualifies as a consumer under applicable law, the Client shall have the right to withdraw from the Agreement within fourteen (14) calendar days from the date of its conclusion, without giving any reason.
If the Client expressly requests that the services commence during the withdrawal period and subsequently exercises the right of withdrawal, the Client shall pay for the services actually performed up to the date on which notice of withdrawal is received.
Where the services have been fully performed before the expiry of the withdrawal period at the Client’s express request, the Client acknowledges that the statutory right of withdrawal shall be lost to the extent permitted by applicable consumer protection legislation.
19. Entire Agreement
These General Terms & Conditions form an integral part of the Service Proposal accepted by the Client.
In the event of any inconsistency between these General Terms & Conditions and the Specific Terms contained in the accepted Service Proposal, the Specific Terms shall prevail solely in relation to the scope of the services, project phases, deliverables, professional fees and any other project-specific conditions expressly agreed between the parties.
If any provision of these General Terms & Conditions is held to be invalid, illegal or unenforceable, the remaining provisions shall continue in full force and effect.
